01About these terms
shestarbd.com is run by She'Star Bangladesh, 67/94 Chowdhury Vila Road, Masterpara, Uttarkhan, Dhaka 1230, Bangladesh ("we", "us", "She'Star").
By using this website or sending us an enquiry, you agree to these terms. If you do not agree, please do not use the site.
Every order is also covered by its own proforma invoice (PI), purchase order or sales contract. If anything in that order document is different from these terms, the order document wins.
02Using our website
You may browse the site and download information for your own business use. You agree not to:
- Copy, resell or republish our content, photos or price information without permission.
- Use the site for anything illegal or misleading.
- Try to hack, overload or interfere with the site.
- Send false enquiries or pretend to be someone else.
We try to keep the site accurate and up to date, but product photos, capacities and lead times shown are general examples. They are not a promise for your specific order.
03Quotes and pricing
- A quote is an estimate based on the details you give us: style, fabric, GSM, quantity, trims, print, wash, packing and delivery terms.
- Unless the quote says otherwise, prices are valid for 30 days.
- Prices may change if your specs, quantity or delivery date change, or if fabric, yarn or freight costs rise sharply before the order is confirmed.
- Prices are quoted in USD or BDT, and on the Incoterm stated on the quote (for example FOB Chattogram or EXW Dhaka).
- A quote is not a binding order. An order is only confirmed when both sides accept a PI or sales contract and any agreed deposit is received.
04Samples
- We usually make development samples in 3 to 5 working days once we have your final design, tech pack and trims.
- Sample charges and courier costs are shown on your quote. Some or all of the sample cost may be adjusted against your bulk order, if agreed.
- Bulk production starts only after you approve the sample in writing (email or WhatsApp is fine).
- The approved sample becomes the quality standard for your bulk order.
05Orders, payment and delivery
Payment
We work in one of two ways. Your PI will say which one applies to your order.
Scenario 1 · Standard30% advance, then we start
We start work on your order only after we receive at least 30% of the order value. The balance is paid before shipment, or as stated on your PI.
Why we need the advance:
- Fabric prices move fast. The advance lets us book fabric right away at the price we quoted you.
- Same quality across the order. We buy all the fabric for one order together, from the same quality range, so shade and hand feel stay the same from the first piece to the last.
- Logistics planning. It lets us book trims, printing, washing and shipping slots on time.
Scenario 2 · Credit (case by case)Credit terms, with 7–10 extra days
For some buyers and orders, we may agree to start on credit. This is decided case by case and must be confirmed in writing on your PI or contract.
What changes:
- Add 7–10 days to the lead time. Without an advance, we need extra time to arrange fabric, trims and logistics.
- More planning on our side. We use this time to line up suppliers and manage the order schedule.
- Agreed dates. The payment due date and any security (for example an L/C) will be written on your PI.
- Bank charges on your side are paid by you. Production may be paused if a payment is late.
Lead times
- Lead times start from the date we receive both the 30% advance and your final approvals. On credit orders, the lead time is 7–10 days longer.
- We will tell you early if a date is at risk. We are not responsible for delays caused by late approvals, spec changes, late payments, or events outside our control (see below).
Delivery and risk
- Risk and ownership of the goods pass to you as set out in the agreed Incoterm.
- Quantities may vary by up to 3% from the order quantity, which is normal in garment production. You pay for the quantity actually shipped, unless agreed otherwise.
06Changes and cancellations
- Changes to style, colour, size ratio or quantity after the order is confirmed may affect price and delivery date.
- If you cancel after fabric or trims are bought, or after cutting starts, you pay for materials bought and work already done. Deposits may be used to cover these costs.
07Quality checks and claims
- We run checks at fabric, cutting, inline sewing and final AQL stages, and share a photo report before shipment.
- You or your appointed agency may inspect goods before shipment, at your cost.
- Any claim for defects or shortages must be made in writing, with photos, within 14 days of receiving the goods.
- If a claim is valid, we will agree a fair fix with you: repair, replacement, credit note or partial refund. Our total liability is limited to the value of the affected goods.
- We are not responsible for damage caused by wrong washing, misuse or normal wear.
08Designs, logos and intellectual property
Your designs
- Designs, logos, labels and artwork you send us stay yours. We use them only to make your order and keep them confidential.
- You confirm you own or have the right to use every logo, brand name and design you ask us to produce. You agree to cover any loss we face if a third party claims your design breaks their rights.
- We will not make or sell your branded products for anyone else.
Our content
- Text, photos, graphics and the She'Star name and logo on this website belong to us or are used with permission. Please do not copy them without asking.
- Buyer logos shown on our site are used with permission to show who we have worked with. They remain the property of their owners.
09Product compliance
You are responsible for telling us the labelling, safety, chemical and testing rules that apply in the country where you will sell the goods (for example care labels, country of origin, REACH or CPSIA). We will make the goods to the requirements you give us in writing. Lab testing costs are paid by the buyer unless agreed otherwise.
10Limits of our liability
- We are not liable for indirect losses, such as lost profit, lost sales or damage to reputation.
- Our total liability for any order will not be more than the amount you paid for that order.
- Nothing in these terms limits liability that cannot be limited by law.
11Events outside our control
We are not responsible for delays or failures caused by events we cannot reasonably control. These include floods, cyclones, fire, strikes or hartals, power or gas shortages, port congestion, pandemics, war, government actions and supplier failures. We will tell you quickly and work with you on a new plan.
12Governing law
These terms are governed by the laws of Bangladesh. If a dispute comes up, we will first try to settle it by talking in good faith. If that does not work, the courts of Dhaka, Bangladesh will have jurisdiction, unless your order contract names another place or arbitration.
13Changes to these terms
We may update these terms from time to time. The date at the top of this page shows the latest version. Orders already confirmed follow the terms in place when they were confirmed.
